EQT acquisition of Range Resources creates America's largest natural gas producer

Combined company surpasses 9 Bcfe/d, standing 25% clear of nearest rival as Appalachian consolidation reaches new scale

3 minute read

Addressing EQT Corporation's all-stock acquisition of Range Resources, creating a combined enterprise value of more than US$50 billion, Lydia Walker, Senior Research Analyst on Wood Mackenzie's Lower 48 upstream team said, "North American gas markets have shifted from producer-push to demand-pull, and this deal puts EQT firmly at the heart of that transition. Range cements EQT's position as the supplier of choice for Appalachian power generation and data centre growth, adding the scale, inventory and liquids diversification needed to serve that demand for decades to come."

EQT has executed more than US$12 billion in acquisitions since 2023. The newly combined company will stand 25% clear of its nearest rival and produce roughly three times more than most gas-focused peers.

According to Wood Mackenzie, EQT was already the largest Marcellus producer ahead of this transaction. The addition of Range takes the combined entity to more than 9 billion cubic feet equivalent per day (bcfed).

A high-quality and strategically complementary asset

Range drilled the first Marcellus gas well in 2004 and has remained focused on south-west Pennsylvania ever since. According to Wood Mackenzie, its position lends a more liquids-rich profile to the combined company, with NGLs and oil accounting for approximately 30% of Range's production.

"Both EQT and Range command premium valuations relative to gas-focused peers," said Walker. "This deal deepens exactly what investors reward: low costs, infrastructure ownership and exposure to future demand growth."

Timing, balance sheet and synergy targets support the move

The deal comes at a moment when the demand backdrop for Appalachian gas has materially strengthened. EQT's financial position provides the balance sheet to move decisively. The company reduced net debt from more than US$12 billion following its Equitrans Midstream acquisition to US$5.5 billion by Q2 2026. Rather than pivoting to buybacks at that point, management has again chosen transformative scale.

"This activity is consistent with a strategy that has not prioritised short-term shareholder returns," said Ayisha Zia, senior research analyst, Corporate Research for Wood Mackenzie. "And with the demand backdrop strengthening, the market is likely to reward that discipline again."

EQT targets US$325 million in annual baseline synergies within two years, and a further US$300 million-plus in longer-term upside from development. The company beat synergy guidance on each of its last two major deals, lending credibility to the targets.

Range shareholders receive a 21% premium, an exit with a clean balance sheet, and retain exposure to the Appalachian growth story. The transaction is structured as 0.987 EQT shares per Range share, with EQT shareholders expected to own approximately 73% of the combined company and Range shareholders approximately 27%. Closing is expected in Q1 2027, subject to regulatory and shareholder approvals from both companies.
